Judicial Enforcement of Competition Law
The judiciary has a central role in the implementation of competition policy. Competition laws are written broadly, and judicial precedent is important in interpreting these statutes, even in non-common law countries. Legal systems vary significantly between Member countries, so specific conclusions about the role of the judiciary in competition enforcement are difficult to articulate. The seminar promoted better understanding of the competition laws of Member countries and of the means for implementing them, thus ultimately promoting international convergence of competition policy. Judges, experts and competition authorities discussed the responsibility of the judiciary in the implementation of competition policy, the role of economics and economists, and accommodation of multiple criteria, standards of proof and judicial review in competition cases. General Cartel Bans Criteria for Exemption for Small and Medium-sized Enterprises
The Roundtable debated conditions for exempting horizontal co-operation among small and medium-sized enterprises (SMEs) from general prohibitions against cartels. In a number of countries, either a legal provision exempts agreements between SMEs or such agreements are allowed under a de minimis clause. Country contributions and the discussion showed a diversity in the definition of an SME or of the threshold of de minimis or exemption, in the kinds of agreements which could be exempted and in the sectors where exemptions are found. One rationale offered for exempting agreements among SMEs is administrative, to lighten the burden on antitrust authorities. Another is economic, to achieve benefits in terms of efficiency or competition. And another is political, where the exemption results from lobbying by special interest groups. Competition Policy and Environment
The analytical note reviews modes of environmental regulation and identifies some anticompetitive effects that can accompany them. Such regulations might be used to gain a competitive advantage. A common principle of the different modes of intervention, whether by government through direct regulation and economic instruments, by industry or by a combination of government and industry is that the polluter pays, so that producers and consumers bear the full social cost of their actions. When production has harmful effects on the environment, those effects must be reflected in costs, so the pricing mechanism can perform its role as an indicator. This principle is consistent with competition policy to the extent that it remedies a market failure, internalising the pollution externality. Competition Policy and Efficiency Claims in Horizontal Agreements
Efficiency claims play a key role in the analysis of mergers and horizontal agreements. Static efficiencies, associated with the production and distribution of existing products, are most often considered relevant. Dynamic efficiencies, of improved processes and products, are also important, but they are inherently more difficult to estimate. Efficiencies tend to play a larger role in analysis of horizontal agreements than in analysis of mergers. There are significant differences across countries in how efficiencies are factored into merger analysis, but there are also broad similarities. Most agencies do not reach consideration of efficiencies unless it is clear that a merger will tend to have anti-competitive effects. In such a case, the parties usually have a significant responsibility to establish that the merger should nevertheless be approved because it promises to yield significant efficiencies that cannot be obtained in less anti-competitive ways. Some countries apply a “consumer surplus” standard. Others apply a “total surplus” standard, which would approve a merger if the real resource savings will cause producers to gain more from the merger than consumers will lose from it. Because competition authorities face an inherent informational disadvantage, efficiency claims and supporting evidence must be assessed with caution. Competition in Telecommunications
In 1996, at the time of the roundtable, an unprecedented wave of deregulation and liberalisation had started in the telecommunications sector. Participants discussed institutional aspects of antitrust and regulation in the sector. One issue was whether competition authorities should be responsible for injecting competition or whether telecommunications regulators should take the lead. They also discussed how to address structural constraints due to natural monopoly in some parts of the market and how to ensure performance of universal service obligations by newly privatized former monopolists. The Reform of International Satellite Organisations
Since the creation of international satellite organisations (ISOs), technology and institutions have changed. Fibre optic cable has greatly in creased connectivity. Satellites and ground stations have become more efficient. Private satellite systems have emerged. The almost uniform landscape of monopoly domestic public telecommunications operators (PTOs) has been transformed in many countries with the addition of corporatised PTOs and, in some countries, private competitive operators. As the environment for which ISOs were designed has changed, policymakers need to review the appropriateness of their status and structure. The purpose of this roundtable was to discuss alternative, pro-competitive structures of the international satellite organisations. ISOs have extensive effects on competition in domestic telecommunications and broadcast markets. The roundtable was a timely opportunity for competition authorities to come up with positions to influence the governments and representatives at the ISOs. The Essential Facilities Concept
An essential facilities doctrine specifies when the owner(s) of an “essential” or “bottleneck” facility must provide access to that facility, at a reasonable price. For example, it might specify when a railroad must be made available on reasonable terms to a rival rail company or an electricity transmission grid to a rival electricity generator. Topics covered include the access regime, interoperability (that different systems, products, and services work together transparently), standards, the importance of market definition in defining an essential facility, single versus joint ownership of an essential facility, legitimate reasons to deny access and possible remedies. There is an important distinction among public, private but regulated, and private unregulated facilities because mandatory access can diminish private incentives to invest and to innovate. Konkurrencerådet havde i 1995 påbudt ophævelse af to bestemmelser i et selskabs forhandlerantagelsesbetingelser, omfattende henholdsvis krav om fuldt varesortiment og om mindst to emballagestørrelser for bestemte produkter. Konkurrencerådet havde fundet, at sortimentskravet var en urimelig indskrænkning af den frie erhvervsudøvelse og hindrede en effektivitetsbetinget udvikling i branchen. Endvidere mente rådet ikke, at en ophævelse af kravet udelukkede, at dette kunne stille krav til forhandlerens sortiment. Med hensyn til kravet til emballagestørrelser havde rådet lagt til grund, at det ikke var rimeligt at stille krav om, at en forhandler via bestemt antal emballagestørrelser skal kunne imødekomme praktisk taget alle forekommende arbejdsopgaver hos alle kunder. Den enkelte forhandler bør efter Rådets opfattelse i højere grad selv kunne tilrettelægge sin forretningspolitik med henblik på, hvilken gruppe af købere, forhandleren agter at henvende sig til. Hertil kommer, at et stort antal farver fulgt op af et krav om mindst 2 emballagestørrelser vil lægge beslag på så megen udstillingsplads, at det i realiteten udelukker forhandleren fra at kunne tilbyde kunderne træbeskyttelse fra andre leverandører. Konkurrenceankenævnet stadfæstede rådets afgørelse i forhold til nogle af produkterne og bemærkede, at klagerens forhandlerantagelsesbetingelser måtte bedømmes i lyset af klagerens stærke dominans på markedet for træbeskyttelsesmidler. Sagen vedrørte en afgørelse efter den ældre konkurrencelov.
Abuse of Dominance and Monopolisation
The competition laws of many OECD countries contain a concept of single firm exploitation of market power or use of improper means of attaining or retaining market power. Some laws also contain the concept of “joint dominance”, distinct from multiple firms acting pursuant to an agreement. Møbelproducenten Fritz Hansen A/S var i 1990 (Konkurrencerådet 10/10-1990) blevet pålagt at genoptage levering af møbler til Frank Sørensen Bolighus ApS på selskabets almindelige gældende vilkår. Dette blev i det væsentligste stadfæstet af Konkurrenceankenævnet ved kendelse af 19. december 1991. Implicit heri havde ankenævnet afgrænset markedet til ikke-modeprægede boligmøbler af høj standard i henseende til design, materialer, udførelse og finish, og som omfatter det brede udvalg af klassisk dansk møbelkunst. Øste Landsret stadfæstede dette. Sagen vedrørte en ældre konkurrencelov, men syntes at have normeret retshåndhævelse også efter ophævelsen heraf, uanset sagen bygger på en meget snæver markedsafgrænsning.
Competition Issues Related to Sports
Satellite television with dedicated sports channels considerably increased the market for sports broadcasts. Sports bodies and event organisers perceive that they have market power to influence competition among TV channels and the market for sports equipment. Sports federations and leagues have significant powers to regulate the activities of sports professionals. The roundtable has shown the difficulty of reconciling aspects of sport operations that are inherently anti-competitive with competition policy. Application of Competition Policy to High Tech Markets
Technological innovation has significant welfare implications. Competitive markets provide incentives to innovate, and innovation can be a catalyst for further competition. But economic analysis provides limited insight into the relationship between competition and the level of research and development effort and between the level of research and development effort and innovation. Innovation markets and future generation product markets are useful concepts when considering high tech markets. Instead of using market share to indicate market power, analysts should consider intellectual property assets, first mover advantages, network effects and open or proprietary standards. Strategic entry deterrence can be an important anti-competitive behaviour. Resale Price Maintenance
Resale price maintenance (RPM) specifies the final price that retailers charge consumers. This roundtable focused on the use of RPM for books, newspapers and similar cultural products. RPM, like other vertical restraints, may help resolve problems of coordination between upstream and downstream firms and thus may increase their combined profits. Issues in the economics of RPM include eliminating double mark-ups and preventing free-riding and “cream skimming”, while guarding against horizontal collusion and prevention of entry. In the legal treatment of RPM for books and cultural products, views of competition authorities and cultural authorities may conflict. At the time of this roundtable (1997), RPM was generally prohibited in almost all OECD countries, but in many an exemption permitted some form of RPM for books, newspapers and some cultural products (and in some, for medicaments). And some countries have a procedure for authorising RPM case by case. Supermarket Systems SA - Højesterets dom
To virksomheder havde indgået en eneforhandlingsaftale, som ikke kunnde forenes med artikel 101 ved bl.a. at have optaget bestemmelser om konkurrenceklausuler efter aftalens ophør. Sagsøgte havde overtrådt klausulen, men gjorde gældende at denne var ugyldig, og derfor ikke kunne håndhæves. Dette blev delvis accepteret af Højesteret, som reduceret erstatningen. Renholdningsselskabet af 1898 og I/S Amagerforbrænding ctr. Konkurrencerådet
I 1996 og 1997 var en række restaurationer i Nyhavn ramt af en arbejdskonflikt, der bl.a. medførte, at de ikke kunne få afhentet affald. Disse klagede herefter til KFST, idet renovationsselskabet 1898 på den ene side havde eneret til at afhente affald og på den anden side nægtede at afhente hos de konfliktramte restaurationer. Konkurrencerådet fandt, at dette udgjorde en ulovlig leveringsnægtelse, der ikke var fritaget, jf. konkurrencelovens § 3, om løn og arbejdsforhold. Konkurrenceankenævnet kunne dog ikke tiltræde dette og ophævede afgørelsen ved kendelse af 22/12-1997. Ankenævnet lagde vægt på, at sympatikonflikter måtte antages at være omfattet af konkurrencelovens § 3.
Forbud mod konkurrencebegrænsende aftaler
Vejledning fra 1998 (historisk) udarbejdet af det daværende Konkurrencestyrelse. Vejledningen vedrører forbuddet mod konkurrencebegrænsende aftaler, jf. konkurrencelovens § 6, stk. 1, og gennemgår bestemmelsens anvendelsesområde og retlige indhold.
Landbrugets stilling efter den nye konkurrencelov
Rapporten ”Landbrugets stilling efter den nye konkurrencelov” fra 1998 er udarbejdet af det daværende Konkurrencestyrelse.
Fremstillingen koncentrerer sig om andelsselskabernes vedtægter eller tilsvarende aftaler mellem landbrugsproducenter om indbyrdes rettigheder og pligter. Andelsselskabers aftaler med tredje-mand, f.eks. et andelsslagteris kontrakter med aftagere om levering af slagtevarer bedømmes efter konkurrenceloven på linie med andre aftaler om distribution.
I fremstillingen fokuseres der endvidere særligt på forholdet til konkurrencelovens § 6 inklusiv de særlige regler om interne aftaler og de tilsvarende regler i EU, herunder Rådsforordning nr. 26 af 4. april 1962 om ikrafttræden af konkurrencereglerne på landbrugsområdet.
Fastlæggelse af forsyningspligtpriser for Tele Danmark
Som led i liberaliseringen af telesektoren vlev det daværende Tele Danmark pålagt forsyningspligt for en række teleydelser, hovedsageligt taletelefoni. Som led i heri skulle telemyndighederne fastsætte nogle maksimalpriser samt indhente en udtalelse fra Konkurrencerådet om de konkurrenceretlige aspekter heri. I notatet redegør styrelsen kort for hvordan denne fremadrettet agter at håndtere disse udtalelser, idet den første måtte ske inden Konkurrencerådet var på plads.
